The board of directors is elected by the shareholders to manage and supervise the management of the business and affairs of a corporation.
Typically, the board of directors is responsible for:
  • Submission of questions to shareholder vote 
  • Authorizing the issuance of shares 
  • Declaring dividends 
  • Approving financial statements
