What is meant by “corporate governance”?
The concept of “corporate governance” refers to the practices and guidelines that a corporation must adopt in order to ensure that their conduct is accountable, fair, and transparent. Corporate governance rules may address the following topics:
- the roles and relationships between the Board of Directors, shareholders, and other stakeholders of your corporation;
- the required internal policies that must be implemented in your corporation, such as the Conduct of Business and Ethics, the Disclosure Policy, the Insider Trading Policy, and the Confidentiality Policy;
- the risk management procedures implemented in your corporation;
- the role of independent committees in your corporation.
